This section reviews these details and lets other members see them first before making a purchase, and reminds you that members must unanimously approve the sale to the recipient in order to receive voting rights. If there are no buyers, the LLC can transfer the interest to current members.
The purpose of this section is to ensure a fair assessment of membership interests. Sellers obviously want high prices and buyers want low prices, so this clause ensures that both parties have input and can turn to a third-party appraiser in the event of a dispute.
