Llc Operating Agreement – The operating agreement with the LLC is a binding contract between the owners (participants) of the LLC, which regulates the decision-making procedure, contributions and ownership of the legal entity. This is the only document that records the ownership shares of each participant.
The operating agreement, as a rule, is drawn up during the formation of the LLC and is not submitted to any government agency (a copy is kept by each participant). All participants, regardless of their ownership interest, must sign.

Each member must “buy into” the LLC with initial capital contributions. These contributions are money or other assets that are exchanged for ownership shares.
